This Master Subscription Agreement ("MSA") governs your organization's use of Trueings under a team-licence arrangement. Sign-in to the company portal at /company constitutes acceptance of this MSA and the companion Data Processing Agreement.

1. The service

Trueings provides confidential, AI-led feedback infrastructure that your organization purchases as a pool of redeemable licenses for the benefit of your employees. Each redeemed license becomes an individual subscription to the Trueings product owned by the redeeming employee.

2. Confidentiality boundary

Your organization receives aggregate engagement metrics (redemption rate, completion rate, tool satisfaction). Your organization does not receive feedback content, themes, scores, or per-employee identity. This is the structure of the product, not a configurable option. See the DPA for the operational detail.

3. Licenses and redemption

  • A license is consumed when an employee both signs in with the code and completes onboarding (click-only does not consume a license).
  • Generated, unredeemed licenses can be revoked by your organization at any time.
  • Once redeemed, a license is a one-way transfer to the employee. Your organization cannot reclaim, revoke, or be billed back for a redeemed license.
  • Each license grants the employee twelve months of the paid Trueings tier (unless a different term is specified at generation). After the term ends, the employee's account remains; access drops to the free tier.

4. Payment and renewal

Pricing is communicated at the time of conversion and depends on your selected pricing mode (pay-as-you-go monthly in arrears, or annual prepaid). Renewal terms are described at the same time. Failure to pay results in suspension of new license generation; existing redeemed licenses are unaffected and remain active for their full term.

5. Acceptable use

Your organization will distribute redemption codes only to employees who are aware that participation is voluntary and that the resulting account is theirs. You will not attempt to identify which of your employees have redeemed which licenses, nor to infer feedback content from engagement data.

6. Term and termination

Either party may terminate this MSA at any time. Termination does not affect licenses already redeemed by your employees (they remain individual subscribers of Trueings, on the terms applicable to individual subscribers). Unredeemed licenses purchased under annual prepaid expire at the end of the paid term.

7. Liability

We provide the service "as is" to the extent permitted by law. Aggregate liability under this MSA is limited to the fees paid by your organization in the twelve months prior to the event giving rise to the claim.

8. Governing law

This MSA is governed by the laws of England and Wales. Courts of England and Wales have non-exclusive jurisdiction.

9. Changes

Material changes to this MSA increment the version number above. Your organization's next portal sign-in will prompt the owner to re-accept the new version before continuing.
